Rhode Island Small Claims Demand Letter

A demand letter is the last formal step before you file a small claims case in Rhode Island — and sometimes it is the step that resolves the dispute without ever going to court. Even when it does not, a well-written demand shows the judge you tried to settle the matter first.

Why Send a Demand Letter

Rhode Island District Court does not universally require a pre-suit demand letter for standard breach-of-contract claims. But sending one serves three practical purposes.

First, some people pay when they realize a lawsuit is coming. A formal demand with a specific deadline creates urgency that phone calls and emails do not.

Second, some claim types have specific pre-suit requirements. Under R.I. Gen. Laws § 34-18-19, the landlord must deliver the amount due with an itemized notice within 20 days after the later of tenancy termination, delivery of possession, or the tenant's forwarding address; this is the landlord's deadline, not a tenant demand-letter period. Certain consumer warranty claims require written notice of the defect and a reasonable opportunity to cure. If that requirement applies, skipping the notice can affect your claim.

Third, your demand letter becomes evidence. A judge can see that you gave the other side a clear opportunity to pay before incurring court costs. It demonstrates you acted reasonably.

What to Include

Keep the letter to one page. It should contain:

  • Your full name and address
  • The defendant's full name and address (use their legal name, especially for businesses)
  • The exact dollar amount you are demanding — break it down if there are multiple components (deposit, labor, materials)
  • A specific description of the transaction — what was agreed, what went wrong, and when
  • The legal basis for your claim — breach of contract, failure to return a security deposit under § 34-18-19, unpaid invoice, etc.
  • A deadline to respond — 10 to 14 days is standard
  • A clear statement of what happens next — "If I do not receive payment by [date], I will file a small claims action in Rhode Island District Court"

Do not include threats, insults, or language that could be read as extortion. Stick to facts, amounts, and dates.

How to Deliver It

Send the demand letter by certified mail with return receipt requested (USPS green card). This gives you a dated, signed record that the defendant received it. Keep a copy of the letter and the green card receipt — you will want both if the case goes to court.

You can also send a copy by regular mail or email as a courtesy, but the certified mail receipt is what matters for proof of delivery. If the defendant refuses to sign for the certified letter, the postal tracking record showing the delivery attempt is still useful evidence.

What Happens After You Send It

If the defendant pays within your deadline, the dispute is over. If they offer a partial payment or want to negotiate, you can accept a settlement or proceed to court for the full amount.

If the deadline passes with no response, you are ready to file your small claims complaint on Form DC-SC-1. Your demand letter, the certified mail receipt, and any response (or lack of response) from the defendant all become part of your evidence file.

Do not wait too long after the deadline expires. Rhode Island's statute of limitations for general contract claims is 10 years under R.I. Gen. Laws § 9-1-13, but for sales of goods it is 4 years under the UCC. The sooner you file after a failed demand, the fresher your evidence and the stronger your position.

The Filing a Small Claims Case in Rhode Island guide includes a demand letter planning worksheet that walks you through drafting, delivering, and documenting the letter so it does double duty as both a settlement attempt and trial evidence.
