Small Business Sued in Yukon Small Claims Court: What to Do

Check Who Is Actually Named as Defendant

The first thing to verify is whether the plaintiff sued your incorporated company, you personally, or both. This matters for liability exposure.

If the claim names your corporation (by its exact legal name—"ABC Renovations Ltd."), the corporation is a named defendant; check the claim to see whether you are named personally too. If it names you personally ("John Smith, doing business as ABC Renovations"), you are also a named defendant. If both are named, the plaintiff is suing both.

Sole proprietors don't have this distinction—you and the business are legally the same person. For a partnership, check the caption carefully; the business name or your role alone does not tell you whether you are named personally.

The Response Timeline Is the Same

Whether you're an individual or a corporation, the deadline is the same: file your Form 02 Reply and serve a copy on the plaintiff within 20 calendar days from service (30 days if served outside Yukon). The $25 filing fee applies when you dispute all or part of the claim; there is no fee if you admit the full amount and agree to pay.

For corporations, an authorized corporate officer can complete and sign the Form 02 Reply. The officer's name and title must be clearly stated. A corporation can also be represented in court by an authorized officer—you don't necessarily need to hire a lawyer, though the complexity of commercial disputes sometimes warrants one.

Common Business Disputes in Small Claims

Customer service complaints. A customer claims your product or service was defective, your work was incomplete, or you didn't deliver what was promised. Your defence typically rests on the terms of the contract (written or verbal), proof of what was actually delivered, and any quality standards that applied.

Contractor-client disputes. The reverse of a homeowner dispute—your client claims your work was substandard. Defence evidence includes the work order or contract, progress photos, correspondence showing approvals at each stage, change order documentation, and quotes from third parties showing the work meets industry standards.

Unpaid accounts with counter-allegations. You completed the work, the client didn't pay, and now they're suing you instead—claiming you owe them money for damages caused by your work. This often calls for a counterclaim: deny their allegations in Form 02, and file a Form 03 Counterclaim for your unpaid invoices.

Protecting Business Records as Evidence

Business owners often have better documentation than individual defendants. Lean into that advantage:

  • Signed contracts and work orders
  • Invoices and payment records
  • Email correspondence with timestamps
  • Change orders and scope modifications, signed by the client
  • Before-and-after photographs of completed work
  • Inspection reports or building permits
  • Records showing the client approved intermediate stages

The pre-trial conference judge will want to see organized documentation. Prepare three copies of everything—one for you, one for the judge, one for the plaintiff.

The Time Cost for Business Owners

Small claims litigation takes time away from running your business. The pre-trial conference and (if it goes that far) the trial each require personal attendance or attendance by an authorized officer. For a sole proprietor, that's a day of lost revenue for each court appearance.

Factor this into your settlement calculus. If a customer is suing for $3,000 and you'd spend two half-days in court plus preparation time, settling for $1,500 might be the rational business decision—even if you believe you'd win at trial.
