Collecting Unpaid Invoices Through Delaware Small Claims Court

An invoice hits 60 days overdue, then 90. The client stops answering emails. Hiring a lawyer to chase a $3,000 debt doesn't make financial sense — but writing it off doesn't sit right either. Delaware's Justice of the Peace Court exists for exactly this situation: claims up to $25,000, filing fees between $35 and $45, no attorney required.

Why Small Claims Works for B2B Invoices

The JP Court handles debt actions — and an unpaid invoice is a textbook debt claim. You provided goods or services under an agreement (written or oral), delivered them, and payment hasn't come. That's a breach of contract, which gives the court jurisdiction.

Delaware imposes no annual cap on how many civil claims you can file. If you're a sole trader or small business dealing with multiple deadbeat accounts, you can file them all — each as a separate action.

The statute of limitations is 3 years for general breach of contract under 10 Del. C. § 8106, or 4 years for UCC sales contracts (physical goods) under 6 Del. C. § 2-725. The clock starts on the date of breach or nonpayment under the contract.

Send a Formal Demand Letter

Before filing, send a demand letter by certified mail. It's not legally required, but it frequently resolves the dispute without court and strengthens your position at trial.

Include the invoice number, amount owed, service dates, and a 10–14 calendar day payment deadline. Attach a copy of the original invoice and any signed contract. Keep it factual — no threats or emotional language. Details on structuring this letter: Delaware small claims demand letter guide.

Identify the Correct Defendant

This is critical for small business disputes. If the client is an LLC or corporation, you must sue the exact registered entity name, not a trade name or the owner personally (unless the owner signed a personal guarantee).

Search the Delaware Division of Corporations database for the entity's legal name and registered agent. Service must go to the registered agent.

If the client operates as a sole proprietor under a trade name, verify through the Prothonotary's Office and name them as "[Owner Name], individually & dba [Trade Name]."

The Rule 57 trap: An LLC, corporation, or partnership that wants to respond to your lawsuit without hiring a lawyer must submit a Certificate of Representation (Form CF50) to the Chief Magistrate, obtain approval before filing an answer, and pay a $20 annual fee. If it files without approval, the court can enter default judgment. This often works in the plaintiff's favor.

File and Serve

File Form CF01 in the defendant's county of residence if you want to recover court costs from a Delaware-resident defendant; ordinary civil actions may be filed in any county. Attach copies of the contract, invoices, delivery confirmations, and any communications showing the client acknowledged the debt.

For out-of-state clients, you'll handle service yourself using the Form CF31 certified mail procedure. You have 7 days after receiving the processed papers from the clerk to mail them, and the defendant gets 20 calendar days to file a written answer.

Claim Prejudgment Interest

Most plaintiffs forget this: under 6 Del. C. § 2301, you can request prejudgment interest from the date of breach or nonpayment under the contract. Without a contractual rate, the legal rate is 5% over the Federal Reserve discount rate. On a $5,000 invoice that's 18 months overdue, that adds meaningful dollars to your judgment. See Delaware prejudgment interest rates for the calculation method.

Prepare Your Evidence

For the Zoom hearing, organize and pre-submit exhibits at least 5 business days in advance:

  • The signed contract or written agreement
  • The unpaid invoice(s) with due dates
  • Proof of delivery (signed receipts, delivery logs, completion photos)
  • Email chains showing follow-up attempts and silence
  • Your demand letter and the certified mail receipt
  • An interest calculation worksheet
